These Terms of Service ("Terms") govern your access to and use of the website vianmax.com, the AlphaSync platform, our training programmes, and all related services (collectively, the "Services") provided by Vianmax Techno Ventures Private Limited ("Vianmax™", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 (CIN: U62099TN2026PTC188567), with its registered office at 46-AD, Karuna Conclave, 1st Street, 4th Avenue, Shanthi Colony, Anna Nagar, Chennai - 600040, Tamil Nadu, India.

By accessing the website, creating an account, enrolling in a programme, or engaging our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. Eligibility & Accounts

• Age - You must be at least 18 years of age to create an account or purchase any Service. Participants under 18 in college workshop programmes require verifiable parental or guardian consent obtained through the host institution.
• Account accuracy - You agree to provide true, accurate, and complete information at registration and to keep it updated.
• Account security - You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorised use.

2. Scope of Services

Vianmax provides: (a) custom software, web, and mobile application development; (b) AI and workflow automation services; (c) algorithmic trading technology development; (d) the AlphaSync simulation and trading-technology platform; (e) LMS and EdTech platform development; and (f) training programmes and workshops. Specific client engagements are governed by a separate proposal, statement of work, or master services agreement ("Engagement Terms"), which prevail over these Terms to the extent of any conflict.

3. No Investment Advice — Important

Vianmax is a technology and education company. We are not a SEBI-registered investment adviser, research analyst, stock broker, or portfolio manager. Nothing on this website, within AlphaSync, or in our training content constitutes investment advice, a research report, or a recommendation to buy, sell, or hold any security or derivative.

• Simulation features - Virtual portfolios, paper trading, and demonstration figures shown on this website are illustrative and educational. Simulated performance is not indicative of actual or future returns.
• Your decisions - Any trading or investment decision you make, including strategies you design or deploy through technology we build, is made solely at your own risk. Investments in securities markets are subject to market risks; read all related documents carefully before investing.
• Regulatory responsibility - If you use our technology to provide services to others (for example as a research analyst or broker), you are solely responsible for obtaining and maintaining all required SEBI, exchange, and other registrations and approvals.

4. AlphaSync Platform & Subscriptions

• Licence - We grant you a limited, non-exclusive, non-transferable, revocable licence to use AlphaSync for your personal or internal business purposes during your subscription term.
• Subscriptions - Paid tiers, pricing, and features are described at the point of purchase. Fees are exclusive of GST unless stated otherwise. Subscription refunds are governed by our Refund & Cancellation Policy.
• Market data - Market data displayed on the platform is provided for informational and educational purposes, may be delayed, and may not be redistributed.
• Availability - We target high availability but do not warrant uninterrupted or error-free operation. Scheduled maintenance and factors outside our control (exchange feeds, broker APIs, internet outages) may affect availability.
• Fair use - You must not reverse engineer, scrape, stress-test, resell, or misuse the platform, attempt to access other users' data, or use the platform for any unlawful purpose, including market manipulation.

5. Training Programmes & Certification

• Educational purpose - Programmes are for education and skill development only. Completion does not guarantee employment, placement, or trading profits.
• Joint certification - Certificates for eligible financial markets programmes are co-issued with Alice Blue Financial Services Private Limited under our partnership. Certification is subject to attendance and assessment criteria communicated for each programme.
• Conduct - We may decline or remove participants who disrupt sessions or breach institutional codes of conduct, without refund where the removal is for cause.

6. Fees, Payment & Taxes

Fees are payable as specified at purchase or in the applicable Engagement Terms. All fees are exclusive of applicable taxes (including GST) unless stated otherwise. We issue GST-compliant invoices. Late payments on client engagements may attract interest at 1.5% per month or the maximum permitted by law, whichever is lower, and we may suspend Services for accounts in arrears after reasonable notice.

7. Intellectual Property

• Our IP - The website, AlphaSync, our training materials, trademarks (including "Vianmax™" and "AlphaSync"), and all underlying software, designs, and content are owned by or licensed to Vianmax and are protected under Indian copyright, trademark, and other IP laws. No rights are granted except as expressly stated.
• Client deliverables - Ownership of custom-developed deliverables is defined in the applicable Engagement Terms. Unless agreed otherwise in writing, pre-existing Vianmax tools, libraries, and frameworks remain our property and are licensed for use within the deliverable.
• Your content - You retain ownership of content and strategy logic you create or upload. You grant us a limited licence to host and process it solely to provide the Services. Your strategy intellectual property remains yours and is treated as confidential.

8. Confidentiality & Data Protection

Each party shall keep the other's non-public information confidential and use it only for the purposes of the Services. Our collection and use of personal data is governed by our Privacy Policy, published in accordance with the Digital Personal Data Protection Act, 2023.

9. Third-Party Services

The Services may interoperate with third-party platforms such as broker APIs (e.g., Zerodha, Upstox, Alice Blue), cloud providers, and payment gateways. Your use of third-party services is governed by their own terms, and we are not responsible for their availability, accuracy, acts, or omissions. Broker API connections you authorise are under your control and responsibility.

10. Disclaimers & Limitation of Liability

Except as expressly stated in Engagement Terms, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

• No trading losses - To the maximum extent permitted by law, Vianmax shall have no liability for trading or investment losses, loss of profits, loss of data, or any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility.
• Cap - Our aggregate liability arising out of or relating to the Services shall not exceed the fees actually paid by you to Vianmax for the specific Service giving rise to the claim in the 6 (six) months preceding the event.
• Exceptions - Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.

11. Indemnity

You agree to indemnify and hold harmless Vianmax, its directors, officers, and employees from and against claims, damages, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of applicable law (including securities and exchange regulations), or your infringement of any third-party rights.

12. Suspension & Termination

You may stop using the Services at any time; subscription cancellation and refunds are governed by the Refund & Cancellation Policy. We may suspend or terminate access (with notice where practicable) for breach of these Terms, unlawful use, non-payment, or risk to the platform or other users. Sections 3, 7, 8, 10, 11, 13, and 14 survive termination.

13. Force Majeure

Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, civil unrest, government action, exchange or regulator action, internet or utility failures, and outages of third-party services.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or the Services shall first be attempted to be resolved amicably within 30 days of written notice. Failing resolution, the dispute shall be referred to arbitration by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Chennai, Tamil Nadu, and proceedings shall be conducted in English. Subject to the foregoing, the courts at Chennai shall have exclusive jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date, and continued use of the Services after changes take effect constitutes acceptance. The version in force at the time of your purchase governs that purchase.
